By engaging Dilsegrow ("the Developer") for custom application development, white-label software deployment, or web services, the Client explicitly agrees to these Master Terms of Service. Dilsegrow operates as a specialized software agency providing architectural, development, and deployment services.
To protect the proprietary infrastructure of Dilsegrow, Intellectual Property is strictly divided:
Dilsegrow operates on a white-label deployment model. Custom applications (including Education and Business apps) are deployed onto third-party cloud infrastructure (e.g., Supabase, MongoDB Atlas, Netlify) owned, registered, and financed directly by the Client.
Once deployed, Dilsegrow assumes no liability for server downtime, third-party hosting failures, database corruption, or security breaches occurring on the Client's infrastructure.
This clause explicitly dictates the legal responsibilities of the Parties regarding user data under the Digital Personal Data Protection (DPDP) Act, 2023:
All code, applications, and web services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of merchantability or fitness for a particular purpose.
Exclusion of Consequential Damages: To the maximum extent permitted by Indian law, Dilsegrow shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, data loss, or business interruption.
Aggregate Liability Cap: Under no circumstances shall Dilsegrow’s total legal and financial liability arising out of this agreement exceed the total fees actually paid by the Client to Dilsegrow during the three (3) months immediately preceding the event giving rise to the claim.
These terms are governed by the laws of India. Any disputes arising from these terms or agency services shall be subject to the exclusive jurisdiction of the competent courts in Amritsar, Punjab.
